The Twenty Two is a cultural space dedicated to the art of lingering. Designed for the creative, the curious and the non-conformist.

We encourage our Patrons to use The Club at The Twenty Two (“The Club”) as a place of study as much as a social space.

These rules (the "Rules") are to ensure our Patrons and their guests treat each other with respect in The Club and to oversee the handling of applications and memberships, which will allow The Club to be enjoyed by all. The Twenty Two shall curate a Committee (“The Committee”) to embody and enrich The Club and its philosophy; and to uphold these Rules.

PART A – MEMBERSHIP AND PAYMENT

1. PATRONS OF THE TWENTY TWO

A Patron of The Twenty Two is any person who has a current Membership of The Club. All Patrons agree to be bound by these Rules and any further rules or regulations as amended by The Club, from time to time. It is your responsibility to check our website regularly to ensure that you are aware of the latest up to date version of our Rules, as you shall be bound by them.

Patrons shall be responsible for ensuring that their guests are aware of and honour these Rules and will be held personally responsible for their guests’ conduct and any transgressions at all times. A failure to ensure that your guests follow all Club Rules and conduct themselves in an appropriate manner whilst on The Club’s premises may result in the suspension or termination of your membership.

2. MEMBERSHIP APPLICATION PROCEDURE

2.1 Applications for membership are welcomed from all persons over the age of 21 years.

2.2 Aspiring Patrons must be put forward by an existing Patron or Committee member. The aspiring Patron must submit an online application form, accompanied by a letter of approval from their proposer. The proposer may be any person other than family members.

2.3 By completing and submitting an application, you agree to be bound by the Rules.

2.4 For a Patron to activate their membership, the Patron will need to (a) create a username and password via the Patron portal website (as described in the confirmation email, the “Patron Portal”); and (b) download The Twenty Two app (“the Patron App”) from the Apple App Store or Google Play. Once the Patron App has been successfully downloaded, the Patron will be guided through the required steps to complete your membership. We do not guarantee the availability of the Patron Portal or the Patron App at any time and are not liable for any operation or failure of the Patron Portal or App at any time. In the event that the Patron Portal or Patron App are not working, please contact membership services at membership-nyc@thetwentytwo.com.

2.5 The Committee meets once a month to select new applicants. If your application is successful, we will notify you by email to confirm your membership and start date. Otherwise, your application will be added to the waiting list and reviewed at the next meeting.

3. EFFECT OF EXPIRY, SUSPENSION OR TERMINATION OF MEMBERSHIP

Where an individual’s membership has expired or been terminated, or during the period of suspension of an individual’s membership, the individual may not exercise the rights of a Patron under these Rules. All membership and joining fees are non-refundable unless agreed otherwise.

4. DISCIPLINARY PROCEDURE

4.1 The Twenty Two may immediately suspend a Patron’s membership which may lead to a termination of a Patron’s membership, for any duration, if The Committee finds that a Patron’s conduct is: in breach of these Rules; is inappropriate, violent or abusive; is unlawful, harmful, threatening, defamatory, obscene, indecent, harassing or racially or ethnically offensive; facilitates illegal activity; is discriminatory based on race, gender, age, colour, religious belief, sexual orientation or disability; causes damage or injury to any person or property, or is not in the spirit or best interest of The Twenty Two; or may harm the reputation or the business of The Club or The Twenty Two, its members or staff.

4.2 Where The Twenty Two has suspended or terminated an individual’s membership, unless otherwise permitted by the Committee in writing: (a) that Patron is not permitted to return to The Club as a guest after such a termination or during such suspension and in certain circumstances may not be permitted to return to any Twenty Two premises; (b) any refund of the membership fees shall be entirely at the discretion of The Twenty Two.

4.3 Where The Twenty Two suspends or terminates an individual’s membership, the individual will be given notice in writing by The Club, provided that where suspension or termination is immediate, it may be communicated verbally and written notice (or email) shall be provided within a reasonable time thereafter. During any suspension and investigation (unless otherwise permitted by the Committee in writing) Patrons will not be allowed on The Twenty Two premises. Any memberships at risk of suspension or termination will be reviewed at our monthly Committee meetings and notified to you, where appropriate.

4.4 In the event of any dispute whatsoever in respect to these Rules, the decision of The Committee is entirely at The Committee’s discretion, is final, and not subject to appeal by the Patron. Nor is The Committee required to give reasons for its decision.

4.5 Please be aware that any of our senior members of staff at The Twenty Two premises or where events are taking place are authorised by The Committee to apply these Rules to any Patron or their guests at any time, entirely at their discretion, including the ejection of you or your guests from our premises. Please contact membership services if you have any complaint about any member of our staff or a service provider.

5. RENEWALS

5.1 Membership is for a minimum period of one year and is renewed annually. The Committee has absolute discretion to decide whether to renew a membership, with no reason provided and no appeal permitted. You will be notified to remind you of your membership renewal date, along with the option of cancellation. If you do not cancel your membership following this notification, your membership, following payment for your Membership fees having been made, will be automatically renewed.

5.2 In the period in advance of membership renewal, you will be contacted to advise you of the pending renewal and we kindly ask Patrons to notify The Twenty Two before their membership renewal date, should they wish to cancel or make any amendments to their membership.

5.3 Where a Young Patron reaches 30 years of age, The Twenty Two will automatically mature the membership to a Patron and, upon renewal, the membership fee payable shall be the fee for a Patron membership. The Twenty Two will inform the Patron of these adjustments by email and ahead of the renewal date.

5.4 You may cancel your membership at any time (prior to renewal or otherwise) by

contacting the membership team at membership-nyc@thetwentytwo.com. If you have nominated annual payment and you cancel your membership (or your membership is cancelled for any reason) at any time during your membership year, you will still have to pay your full membership fee for the remainder of your membership year, if any.

6. MEMBERSHIP FEES AND PAYMENT

6.1 We kindly ask all prospective Patrons to provide up to date payment card particulars with their application. No fees will be taken until membership is approved and activated. You agree to provide us with relevant valid, up-to-date and complete contact and billing details and a payment method to process any payments or repeat payments to be made by you. Fees for membership renewal shall be payable in advance. By submitting your payment information to us, you automatically authorise us (without any further reference to you) to charge to such payment instrument your annual membership fees and any other outstanding charges incurred through your use of The Twenty Two and Club facilities. You must have an open payment channel such as a Direct Debit or Automatic Card Payment set up with The Twenty Two. If this is cancelled or payment fails through the agreed channel, you undertake to make payment for any outstanding balance of any fees due or payable to The Twenty Two, in full, within 7 days of the original due date. Failure to make this payment may result in legal action to recover the monies due, including any interest (at an annual rate equal to 4% over the then current base lending rate of Barclays Bank at the date the relevant invoice was issued, commencing on the due date and continuing until fully paid, whether before or after judgment) on the outstanding balance and any administrative or legal costs and cancellation or suspension of your membership.

6.2 Upon a successful application, membership fees will be charged to the payment details provided in line with your successful membership notification.

6.3 The confirmation of a new membership or the renewal of an existing membership may be delayed or cancelled if the payment for membership subscription fees is refused.

6.4 Where the renewal of an existing membership is hindered by a declined payment, the individual’s membership shall be suspended from the expiry date of the paid membership.

6.5 All memberships are non-transferable and non-refundable.

6.6 The Twenty Two may increase the membership fees from time to time, which shall be effective for each Patron from their upcoming date of renewal.

7. OTHER FEES AND PAYMENTS

7.1 Patrons shall be required to add and maintain a chargeable payment method in favour of The Twenty Two at all times.

7.2 Patrons may make payments, track spending and examine monthly statements via the Patron App.

7.3 Patrons must settle bills, in full and cleared funds, on the night unless they have a pre-approved credit facility with The Club or The Twenty Two.

7.4 Patrons are responsible for any purchases and non-membership fees incurred by them and their guests. If a bill is not paid by a Patron or their guest, this may bring about a termination of membership. This is without prejudice to The Twenty Two’s other rights, including, without limitation, the right to recover any outstanding sums.

PART B - GENERAL RULES

8. ENTRY TO THE CLUB

8.1 Upon arrival, the Patron will be asked to sign in with their digital membership card, located in the Patron App.

8.2 We kindly ask guests of Patrons to enter The Club only after reception staff have confirmed that their details have been noted.

8.3 The Twenty Two may at its absolute discretion:

·         (a) refuse entry to The Club for any Patron or their guest

·         (b) remove any Patron or their guest from The Club premises

·         (c) suspend or terminate a Patron’s membership without providing a reason

9. MOBILES AND LAPTOPS

9.1 We kindly ask that mobile devices be set to silent, meeting or vibrate mode at all times.

9.2 All phone calls are to be made or received with consideration of fellow Patrons and within the designated areas. Please ask our team where you can make phone calls within the Club if unsure.

9.3 Laptops can be used until 5pm in The Living Room, only.

9.4 The Living Room may be used as a space for informal meetings until 5pm. After 5pm it is to be used as a social space, not a business club and the same rules apply regarding members bringing mixed groups.

9.5 We kindly ask that any sounds from variable devices — however melodic — be played only through headphones and are not audible to your fellow Patrons or their guests.

10. PHOTOGRAPHY AND PUBLICITY

10.1 Photography, videography, live-streaming or recording of any kind is absolutely prohibited on The Twenty Two's premises unless authorised by management in writing in advance. We reserve the right to confiscate any recording device and any content taken whilst on The Twenty Two’s premises.

10.2 Our community flourishes on the mutual values of privacy and respect. Patrons must uphold other Patrons’ and their guests’ privacy and confidentiality, and are not permitted to discuss or share in public any event occurring at The Twenty Two’s premises, other members or guests without their permission. You are responsible for ensuring your guests’ discretion and will be held accountable for any disclosure relating to other Patrons or their guests, or in respect to any event occurring on The Twenty Two’s premises, in any social or other media, as if it were your own.

10.3 You may take photographs or videos in the publicly accessible areas of The Twenty Two (other than when those spaces are being used for a private event) but we politely request that you do not take photographs or videos of other Patrons or their guests in the public areas.

11. PETS

11.1 Dogs are welcome in The Living Room until 5pm, provided that they are chaperoned by their owner and kept on a lead at all times. Dogs are not permitted elsewhere in The Club or at other times, except for certified assistance dogs.

11.2 If you would like to bring a new pet into The Club, please do get in touch and we will do our utmost to accommodate you.

12. SMOKING

12.1 Smoking Areas: The designated smoking area for Patrons and their guests is located outside on the lower ground floor.

12.2 There is to be no smoking, vaping or use of e-cigarettes with the exception of the designated areas above. The rest of The Twenty Two including all guest rooms remains a strictly no smoking are.

12.3 Patrons and their guests must honour all relevant laws and regulations in regards to smoking.

13. LOST OR DAMAGED PROPERTY

13.1 The Twenty Two is not liable for any loss or damage to your property whilst on The Twenty Two premises unless directly caused by our gross negligence and you must take reasonable care in relation to your property at all times. Lost property items will be held for a reasonable amount of time as determined by the nature of the item held.

14. GUESTS

14.1 Patrons are permitted to bring up to three guests at any one time. Patrons may request an extended guestlist by getting in touch with the membership team by e-mailing membership-nyc@thetwentytwo.com at least 48 hours before their arrival. The Head of Membership has absolute discretion to accept or decline any such request. Following the approval of any guestlist request, Patrons may request to bring additional guests by e-mail or telephone, such requests to be at the sole discretion of management and the membership team. From time to time, we may not be able to satisfy a request for an extended guestlist.

14.2 We kindly ask that all guests are signed in by the Patron in advance or on arrival. If a guest arrives before the Patron, they will be asked to wait in The Restaurant bar.

14.3 Patrons are responsible for the conduct of their guests during their time at The Club. Guests must leave The Club when the relevant Patron leaves The Club; and guests must not be left unaccompanied by the Patron under any circumstances.

14.4 We welcome those under the age of 18 to enjoy The Restaurant, located on the ground floor. Guests may be asked for proof of age on arrival. We reserve the right to refuse any access to The Twenty Two’s premises, other than The Restaurant, to any guests under the age of 18.

14.5. Children of Patrons or Hotel Guests are welcome to be in The Living Room until 5pm, as long as they are chaperoned.

15. DRESS CODE

15.1 The Club does not adopt a strict dress code as we keenly celebrate the individuality of our Patrons. However, we do kindly urge our Patrons to respect the character and spirit of The Club and their fellow Patrons, and therefore we would ask that Patrons please do not wear gym, active or pool wear throughout The Club. You are required to ensure that any guests comply with this rule and are presentably dressed.

17. NEIGHBOURS

17.1 Our historic building is situated in a peaceful neighbourhood and we take pride in being a considerate member of the community. We graciously ask that Patrons and guests departing The Club at night do so quietly and respectfully. Any disturbance may lead to membership suspension or termination.

18. RESERVATIONS, EVENTS AND CANCELLATIONS

18.1 Patrons can make reservations via the Patron App and Patron Portal, or by telephone or email. All necessary details can be found on the Patron App or Portal or the website.

18.2 All events enquiries must be made through our online “Event Inquiry Form” located on the Patron App and Patron Portal or by emailing our Events team.

18.3 We kindly ask that any changes to or cancellation of an event or reservation booking must be made by phone with the Events or Membership teams.

18.4 Once a request for a change or cancellation has been collected by a member of our team, an automated email will be sent to confirm any amendments or cancellations.

18.5 We kindly advise that a cancellation fee will be charged for any cancellations made less than 24 hours in advance or for any no-shows.

18.6 We may close all or part of The Club to Patrons and their guests for private events or maintenance work. Where a private event is occurring in part of The Club, Patrons must respect the privacy of the event and its attendees and shall not disclose any details of the event or attendees to any third party.

19. HOTEL ROOMS

19.1 When booking a bedroom in The Hotel, a Patron and any guests shall be bound by the booking policy as described at the time of the reservation.

20. ILLEGAL SUBSTANCES AND ITEMS

20.1 No Patron or guest shall use, ingest, possess, sell or otherwise distribute any illegal substances or other illegal items; or attempt or seek to do the same on any of The Club’s premises or in the nearby vicinity or in any context relating to The Club.

20.2 Any Patron or guest found in breach of the Rules regarding illegal substances or items will be ejected from the premises and the Patron’s membership shall be terminated.

21. DAMAGES

21.1 Patrons and their guests shall respect the property of The Club and other Patrons at all times and shall not remove or cause any damage to it.

21.2 If a Patron or their guest(s) cause any damage or destruction to any property of The Club or another person, the Patron shall be fully responsible for covering any costs incurred by the damages.

22. PRIVACY

22.1 Any membership information or other personal information that Patrons or their guests provide, or which we collect from said Patron or guest, will be handled in accordance with our privacy policy [LINK].

23. CONDUCT, SAFETY AND SECURITY

23.1 We do not tolerate drunkenness (or any kind of intoxication), foul language, violent or abusive behaviour or any other improper behaviour on The Club’s premises. We operate a zero-tolerance policy and any violation of this section 23.1 or 5.1, may at the Committee’s discretion, result in the termination of your membership.

23.2 We kindly ask that Patrons and guests observe and honour the Rules, any signs or other information announced to them by The Club or its staff. Patrons are responsible for taking sensible precautions to keep themselves and their guests out of harm’s way while on The Club’s premises.

23.3 We kindly ask that Patrons immediately report any accidents, injuries or hazards to The Club’s staff.

23.4 Patrons should be aware (and must make their guests aware) that The Club uses CCTV for safety and security reasons.

23.5 Patrons should act with courtesy and respect towards all The Club’s staff and anyone providing services on The Twenty Two’s premises. In the event of any transgression relating to staff or service providers, we reserve the right to eject the transgressor(s) from the premises, bar further access and suspend or cancel membership.

23.6 You are entirely responsible for all of your guests’ actions whilst they are on The Twenty Two’s premises, as if they were your own.

24. INTELLECTUAL PROPERTY

24.1 We kindly advise that Patrons and their guests should not use the names, logos, trademarks, get-up, goodwill or other intellectual property of The Twenty Two (“Intellectual Property”) without The Twenty Two’s prior written permission; and may not create or authorise the creation of any communications, marketing, advertising or

promotional materials which use the Intellectual Property without The Twenty Two’s prior written permission.

25. LIABILITY

25.1 Subject to clause 25.5, The Twenty Two, its staff, servants and agents shall not be liable to any Patron or guest for any loss, damage or injury suffered by them or to their property, howsoever caused, other than as a result of The Twenty Two’s gross negligence.

25.2 Subject to clause 25.5, the total liability of The Club in contract, tort or any other head of liability shall be limited to the membership fees payable by the Patron (or in the case of a guest, by the Patron whom the guest accompanied) for the previous two years.

25.3 Subject to clause 25.5, The Twenty Two shall not be liable for any consequential or indirect loss.

25.4 Subject to clause 25.5, The Twenty Two shall not be liable for any loss of profits, loss of sales or business, loss of agreements or contracts, loss of anticipated savings.

25.5 The Twenty Two does not exclude or limit in any way any liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence and liability for fraud or fraudulent misrepresentation.

26. GENERAL

26.1 A Patron’s membership and their rights under the Rules or any agreement with The Club are personal to them and cannot be transferred or allotted to any other party.

26.2 These Rules do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.

26.3 If a court finds that any part of the Rules is illegal or unenforceable, the remaining Rules shall continue in force.

26.4 No failure or delay by The Twenty Two to exercise any right or remedy provided under this agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy by The Twenty Two shall prevent or restrict the further exercise of that or any other right or remedy.

27. INTERPRETATION AND AMENDMENTS

27.1 These rules shall be governed in accordance with the laws of New York and the parties, in any dispute, agree to submit to the exclusive jurisdiction of the courts of New York City.

27.2 In the case of a dispute regarding the interpretation of the Rules, the matter shall be referred to The Committee whose decision shall be final.

27.3 The Twenty Two may amend the Rules from time to time. Where it does so, it shall display the new Rules at www.the22.london. Unless clearly stated otherwise, such Rules shall supersede and replace the previous Rules

1.2 The criteria for each tier of membership is as follows:

·         a) Young Patrons: members who are 21 years to 29 years old.

·         b) Patrons: members aged 30 years or above.

·         c) Joint Patrons: married couples, civil partnerships or life-partners who reside at the same residential address.

·         d) Temporary Patrons: hotel residents who have agreed to be bound by the rules of The Club

Lifetime Patrons: by invitation only
